EA is now a private company after a $55 billion sale

Electronic Arts hasn’t been a public company since 1990. As of Tuesday, that streak is over, and the reason why should make anyone who plays EA’s games pay attention.

The $55 billion deal that’s been rumbling for months has now officially closed. Electronic Arts is owned by a consortium of Saudi Arabia’s Public Investment Fund, Silver Lake, and Affinity Partners, and it’s not just a big sale; it’s the largest leveraged buyout ever recorded.

The debt EA now has to deal with

Here’s the part that actually matters long term. A leveraged buyout isn’t the buyers simply handing over cash. It’s funded largely through borrowed money, and that debt gets dumped onto the company being bought. Electronic Arts is now carrying an extra $20 billion because of this deal. That’s a genuinely enormous number for any studio to service, and it doesn’t just disappear; it gets paid down somehow.

Andrew Wilson, Electronic Arts CEO, called it a moment that “recognises the extraordinary people” who built the company, and talked up entering this next chapter with partners who “share our vision.” PIF’s Turqi Alnowaiser added that the fund’s been a minority investor for five years already, so this is less a hostile new face and more a long-term backer stepping fully into the driver’s seat.

That’s the corporate framing, anyway. The bit worth sitting with is what $20 billion of fresh debt tends to do to a games publisher. It’s rarely absorbed quietly. It shows up later, in tighter monetisation, in live service pushes, in sequels greenlit for the wrong reasons. Electronic Arts’ catalogue, from EA Sports FC to Battlefield to The Sims, is exactly the kind of portfolio that can be squeezed for cash flow if the new owners decide that’s the play.
